Licensee performance obligations

This section outlines obligations which are specific to the licensee. Within our context, the licensee (or named party in the license agreement) is typically either the library or its governing institution. In either case, these obligations are specific to them and do not belong to the Authorized Users. When negotiating these terms please become knowledgeable of what resources the named licensee or institution has at its disposal to meet these thresholds. Understanding a general risk profile or your library or institution will bring comfort and confidence in accepting certain language and standards of care. If anyone is unaware of these obligations, then this is the time they should be shared with necessary stakeholders to be brought into compliance.
